Indefinite Ceiling Ltd offers this website including all information, tools and services available from this site to you, the user.

These terms and conditions ("T&Cs") will be reviewed and regularly updated to reflect the best interest of our clients, our business and regulations. All products described on our domain for the purpose of purchase will always contain accurate, up to date, a high resolution image and complete information to describe the product where possible. All reasonable information, provision of this information and enrichment has been performed to ensure the products are described appropriately. We simplify information for user consumption and comparability reasons.

A complete detailed description on various non-proprietary or confidential product components can be obtained. For products developed by IC these will be available in their entirety. For partner products and components, users can request this information. This information can be obtained through our support channels such as 1) live chat, 2) email at support@wizkid.technology, 3) support forums and our 4) online knowledge base.

All our services have sufficient definition and description to describe the use and purpose. 1) Services that are only provided by IC require a separate services agreement to be signed in person or electronically. This agreement will define the scope of the service and its terms. 2) Services that are sold on behalf of our partners follow their terms and conditions for providing these services. These include warranty services that are included by our technology partners for their respective products.

Our technology solutions ("solutions") follow a similar data quality mandate of accurate, timely, complete and easy to understand information for our clients. Every solution will have umbrella terms and conditions that may differ from the components it is comprised of and the overall solution description and the features offered will define the solution accurately and completely.

We reserve the right to offer information about our combination of products, services and solutions ("portfolio") through different communication channels, in varying technical and illustrative depth and in different languages localised to suite our market better. We will ensure that every segment of our offering has sufficient commonality for comparison. We will also offer a different portfolio in different countries to suite the needs of our customers better.

We will continue to offer new products, services and solutions and will discontinue earlier ones without prior notice to present a coherent solutions portfolio that best meets the needs of the market space that we address and contributes to our customers technology needs.

Change of prices

Prices for our products, services and solutions are subject to change and without notice. We aim to be extremely competitive with our competition while offering the best rates possible to our clients. This is only possible by keeping our operating margins very low and any price fluctuations in our development, production, operations and supply chain in consideration. The price for a given product, service and solution will not change after an order has been placed and IC will assume the risk of any price fluctuations in its supply chain during the time the order has been place till the time it has been delivered.

For orders through online market places such as Amazon or eBay, an order is confirmed to have been placed after the actual despatch. This is because Indefinite Ceiling and the customer have a right to cancel without any obligation.

Information from IC

Information published such as reviews, comparisons, feature and cost analysis, technical deep dives, market analysis, analyst reports, user reports, case studies, white papers and other collateral found on our domain will remain the property of IC. Permission to use this information is granted, provided 1) the copyright notice appears in all copies of the media or document and is clearly visible with the Wizkid Technology logo in correct colors and not tampered with, 2) information is shared in its entirety or in pieces that conveys the entire piece of information, 3) is used only for informational and non-commercial or personal use and 4) any broadcast or media based sharing of this information is shared with IC in the first instance for review and approved for mass communication as it is made appropriate according to our marketing and media policy and media ready.

The user bears all responsibility of obtaining relevant permission from IC where required.

 

Support Information

Any requests made to our support team are logged immediately. Information exchanged with support is provided as comprehensively and accurately as the client requests and is available to our support staff. This information is made available to all clients when it is a 1) concerning support request, 2) a recurring support request or 3) something beneficial to all our clients.

Personal Information

We place a great emphasis on our user information and its accuracy. This comprises of any and all users to our domain. It is the user's responsibility to keep their information up to date, accurate and complete. This information includes 1) full name, 2) valid address, 3) valid email address, 4) date of birth, 5) organisation name (if applicable), 6) contact number and 7) financial mechanism and information related to it to conduct a successful transaction.

Billing Information

Every sale is governed by the terms and conditions in addition to these terms conditions. Every sale will generate an invoice for the user which will contain a breakdown of costs relevant to supplying the good or service to the user ("customer"). These will at a minimum include our 1) logo and organisation details. It will include 2) The product, service or solution name and price. We will also include any 3) taxes and shipping as applicable to the user.

Third Party Links

Any link to a third party website or content obtained from a third part website through a webservice are not entirely under the control of IC and whereby all effort would be put into place to ensure its relevance, accuracy, timeliness, quality, integrity and comprehension. IC is not responsible for the links to these sites and will not be responsible for this content or any liability of the same. The user consumes this information, service and interacts with this on its own responsibility or as governed by the terms and conditions of the provider of this content. Any complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.

Terms of Sale

Any user ("customer", "consumer") that performs a financial transaction to acquire a good, product, service or solution (“portfolio”) supplied by IC is bound by these terms and conditions ("terms of sale").

We reserve the right to provide or not provide a product, solution or our portfolio as determined best in the interest of our customers and Indefinite Ceiling Limited. 

We reserve the right to offer a portfolio as appropriate in different geographies based on customer needs, the addressable as well as the potential market and our business strategy.

We reserve the right to limit the quantity per order, financial instrument, customer, organisation and delivery address to ensure fair distribution of the product when quantities are limited by the manufacturer to any element of our portfolio. We also reserve the right to offer these quantities under these limits to accommodate fair distribution of our stock and inventory levels as well as that in our supply chain over a given timeframe.

We reserve the right to charge extra for a failed transaction through one or several financial instruments and the right to cover any shipment and handling charges in the event of refunds as applicable.

Any change in the details of the order such as quantity or declining an order will be performed in less than an hour, and at most in 3 days. Any financial transaction or remaining amount will be returned to the customer at no expense to them.

We may also advise you of a better product or a newer model within the same price range by the manufacturer if applicable and deliver it only after obtaining your consent. We may also cancel the sale if we discover an incorrect product or solution is going to be supplied. We will do this very quickly upon discovery to avoid any loss of repute or disappointment.

We aim to deliver your product within 2 days and even lesser, if we find good inventory levels of the same. Alternately, if the product is unavailable in our supply chain. We will notify you of the reason and its availability and offer you a refund at no cost.

The customer may return the product if there is a damage to the outer packing or the product. The customer may also return the product if the description of product as mentioned on the proof of delivery or invoice issued by IC does not match. Any such intention of return must be made within 3 days of discovering it in writing to IC at our registered offices or support@indefiniteceiling.com.

Any product for return must be in its original manufacturer’s cartons or equivalent, along with a proof of purchase and return authorisations that can be requested from IC at support@indefiniteceiling.com or in writing to our registered offices. We do not process or provide logistics facilities at our registered offices, these are carried out by our logistics and fulfilment partners. If the product has been used or is not in a saleable condition, we reserve the right to not offer a return or refund. We will assess this on a case to case basis and may charge customer the difference in original value price vs sale price achieved for the returned item.

Any software or digital software will not be subject to return with the exception of software obtained from IC not being the same software product that is mentioned in the title. Any cost associated with providing a service or solution where such a software or digital solution is used by IC will be deducted if a solution from IC is returned.

Business Invoices issued will require payment in 30 days, beyond which we will consider these is arrears. We will charge for debt recovery by engaging a relevant debt collection agency and pursuing legal action if required to recover any arrears owed to IC. In addition, we will charge a statuary fee of 1) £ 40 for orders under £ 1000, or 2) £ 70 for orders above £1000 and below £ 10,000, or 3) £ 100 for orders above 1000 will apply. We will also charge a per annum interest rate (of 8% + the current Bank of England interest rate). Any exception to payment terms offered through invoice will require a written approval from the managing director.

These terms of sales are in effect for the duration of a transaction, which includes a successful invoice or delivery of a 1) product as a) acknowledged by the recipient or b) a time duration of 30 days or c) till the time any arrears are recovered successfully from the customer. These terms of sales are also in effect for a 2) service till the service has commenced and is a) delivered or invoiced as acknowledged by the customer or b) a communication of completion from IC on the address or email of the customer shared during purchase or c) till the time any arrears are recovered successfully from the customer. For a 3) solution this will comprise of a a) delivery date as set out by IC, b) delivery of the solution or invoice in physical form, c) availability in electronic form and email of invoice or d) till the time any arrears are recovered successfully from the customer.

Limitation of Liability

Under no circumstances shall Indefinite Ceiling Ltd (“IC”), our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any liability, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind. With the exception of personal injury or death or damage to property by a product. The manufacturer of the product will bear the sole responsibility of providing the correct and desired functionality of their product.

This includes, without limitation to any 1) ongoing or future losses in profit and revenue, 2) ongoing or future losses experienced due to a missed business opportunity, 3) general or predicted business losses, 4) any ongoing and future loss of savings or cost reduction, 5) any replacement, parts, repair, labor, consultancy or services costs, 6) any shipment or labor costs incurred due to incorrect or missing information provided by the customer, 7) any loss of warranty or support from the manufacturer, 8) the application of the product, service or solution to provide a certain result unless explicitly agreed upon in a separate agreement, 9) any product compatibility concerns or end of support, sales or marketing of products, 10) any additional payments that occur as a result of using or intended use of any information, product, service or solution, 11) any loss or corruption of information and data that may result in losses of any nature, 12) any goodwill or reputational loss, 13) any inconvenience caused to the customer or its end-user, 14) loss of providing any service or material of non-commercial value, 15) loss of any productivity or productivity gains or any similar damages. Whether these are based in contract, tort (including negligence) or restitution, or for breach of statutory duty, strict liability, misrepresentation or otherwise arising from the use of any information, product, service or solution provided by IC or the inability to use the same. Through any communication channel such as our domain, face-to-face communication, post, fax, telephone, voicemail, mobile, skype, whatsapp, viber, email, live-chat, web-service, support forums, related websites and others or through social media channels such as Twitter, Facebook, Google+, Youtube, Pintrest and Instagram and others deemed to provide a mechanism for communication or be part of a communication that is considered to have caused any liability.

This agreement will take precedence before any other agreement in its T&Cs. Any liabilities occurring from other agreements will have to assume the risk of those liabilities or a measure to do so within that agreement framework or be borne by other parties in that agreement.

We also hold the customer responsible for ensuring that these products, services and solutions are used in their own best interest and not for 1) any unlawful purpose, 2) to solicit others to perform or participate in any unlawful acts, 3) to harm, injure anyone or be used for anything or produce anything from it that may prove to be harmful, 4) to violate any law of the land they reside in, the product, service or solution is used in or has an impact upon, 5) to violate any law as set forth in the legislation of England & Wales followed by the legislation available in United Kingdom, 6) to infringe upon or violate our intellectual property rights or the intellectual property rights of others, 7) to harass, bully, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, physical characteristics or disability, 8) to submit false or misleading information, 9) to upload or transmit viruses or any other type of malicious code that will or can be used in any way to affect the functionality or operation of IC, its domain or any related website, other websites, or the Internet, 10) to collect or track the personal information of others without consent or for non-legal enforcement purposes, 11) to spam, phish, pharm, scrape, snoop, man-in-the-middle, denial-of-service, distributed denial-of-service, netsplit, sql-injection, create viruses, trojans or code of a destructive or damaging nature, exploit computer systems, its software or their services for illegal reasons, 12) to use someone else’s credentials obtained legally or illegally without authorized consent, 13) to view, copy, print or share any information that one is not authorised for by the subject of that information or the owner of the information or the data controller, 14) for any socially obscene or immoral considered purpose, 15) any fraudulent or embezzlement activities, 16) any negligent act that may lead to any damage of any kind, 17) any harmful activity to the economy, society or community that has current legal implications or may have legal implications in the future.

Indemnity

The user, whether a customer or not, agrees to indemnify Indefinite Ceiling Ltd (“IC”) against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties, legal and other professional costs and expenses) 1) caused due to breach of warranty of the product, service or solution as described on the domain, 2) any negligent performance or non-performance, 3) any delay in the supply of the product, service or solution, 4) any failure in the product, service or solution, 5) any performance caused issues by the product, service or solution, 6) any damage caused to property, personal injury or death caused by a product, service or solution provided by IC. This shall apply even in the event of negligence or omission by IC.

You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all product(s), service(s) and solution(s) delivered to you through IC are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

Intellectual Property

The user hereby acknowledges that any proprietary rights used on or in relation to the Products, Service and solutions or any third party hardware, software or service supplied through IC will under the title or ownership, patent, copyright and trade secret rights of its respective owner.

Any partner or third-party service or license that the customer purchases, supplies, is involved with or uses and the terms and conditions of 1) purchase, 2) use that apply and 3) its agreement and application will be the user’s responsibility. Failure to agree to these terms and conditions may result in the refusal or revocation of the service or software. The customer agrees to indemnify IC in respect of any costs, charges or expenses incurred by IC as a result of any breach by the customer of such terms and conditions. 

All information regarding the inner workings of a service, software, hardware, product and solution as a practice are not made available to customers in order to continue commercial activity, secure the service, product or solution itself and our customer base.

Any customizations made to the service, product or solution over and above what IC or its third party has delivered under these T&Cs are the customers property. This can be determined by the documentation of the service, product or solution provided by IC including features.

Comments, Complaints & Feedback

Our suggestions and feedback mechanism can be accessed through support@wizkid.technology. We specifically look forward to hearing from our customers about ways to improve our business and the products, services and solutions. Especially the portfolio they would like to see. This does not put our customer, any third party or IC under any obligation to provide the same. We will form a needs consensus on the next products, services and solutions to be offered and analyze this in respect to the potential and addressable market.

Any complaint(s) can be directed to support@wizkid.technology. All complaints and customer support follow a complaint resolution and support process and service levels for resolution are monitored strictly. You agree that your support requests or use of our support forum or domain will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments on any domain or forum will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of IC, its domain or any related website. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.

Warranties

We do not guarantee, represent or warrant that your use of our domain will be uninterrupted, timely or error-free. We will work with our developers, operations team, hosting providers, software and service providers to ensure a continuously available model comes into place with minimal errors, loss of data or loss of functionality.

Hardware products that we provide from other manufacturers, should they prove defective in materials or workmanship under normal operation or service, such Products will be repaired or replaced only in accordance with any warranty cover or terms as provided by the manufacturer of the products. Also provided that no unauthorised modifications to the product or to the system of which the product forms part of have taken place. We are not responsible for the cost of labor, shipment, parts, replacement or other expenses incurred in repairing defective or non-conforming parts and this will have to be borne by the manufacturer or the customer.

And software product from other manufacturers, should it prove corrupt in installation or lack features mentioned. Such software products will be covered by the manufacturers support team only if the software has been installed on the hardware or cloud service it has been designed, a stable version of the software has been used, installation, administration and user instructions have been followed. Any customisations as compared to configuration of this software will void all warranty if offered and void any support offered by the manufacturer. Any products that have reached end-of-sale or end-of-marketing cycles will be supported by the manufacturer on a best effort basis and may indeed match end-of-support cycle for the manufacturer.

Any products that the manufacturer has provided replacement under warranty, such products must comply with the manufacturer’s warranty terms, be shipped in original manufacturer packing with due care taken while packing, a list of products, proof or purchase from IC, a list of products if applicable and a warranty return for replacement authorization from the manufacturer if applicable.

All faulty products will be tested as part of the returns procedure before shipping it to the manufacturer and any product not found faulty will be sent back to the customer. We will charge the customer reasonable charges for testing and shipment as charged by our logistics and supply chain and any handling charges as incurred by IC if the product is not faulty.

IC does not directly repair, fix or offer these warranties or guarantee on its own behalf unless a service offered by IC directly is purchased to provide such a warranty for the products purchased. These services will bear the Wizkid Technology or IC logo with Wizkid Technology or IC staff directly involved in support and the service contract would be separately agreed upon with IC before commencement of service. We will facilitate all warranties and guarantees purchased through us for different partners and vendors to the extent possible.


SEVERABILITY

In the event that any provision of these T&Cs is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these T&Cs, such determination shall not affect the validity and enforceability of any other remaining provisions.

TERMINATION

These T&Cs are effective unless and until terminated by us or as described in these T&Cs.

You may request termination of these T&Cs at any time by notifying us that you no longer wish to be in agreement of these and providing us a detail of the 1) reason for termination of agreement, 2) a history of product, services or solutions used or purchased, 3) any domain content visited and 4) use of any information provided by IC.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these T&Cs, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly we may deny you access to our domain and its portfolio.

ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these T&Cs shall not constitute a waiver of such right or provision.

These T&Cs and any policies or operating rules posted by us on this domain constitutes the entire agreement and understanding between you and us and governs your use as a user, superseding any prior or contemporaneous agreements and having precedence over any communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the T&Cs).

Any ambiguities in the interpretation of these T&Cs shall not be construed against the drafting party and due notice has been provided in the beginning to seek clarity immediately as the agreement comes into place.

FORCE MAJEURE

IC is not liable to perform any of its obligations as set in these T&Cs or be liable for any delay, defect or deficiency caused in the event of force majeure which may cause loss or affects performance by hindering, delaying or making considerably more difficult to fulfill our obligations and commitments. “Force Majeure” shall include any act of God, fire, flood, hurricanes, earthquake, ash clouds, haze, excessive snow or other natural disaster. This may also include any malicious injury, strikes, riots, shutdown of manufacturing facility, disruption of transport, vendor insolvency, government orders, international sanctions, insurrection, war or other similar reasons that are not under the control of IC.

However, in this global economy IC has taken provision to keep multiple mechanisms to ensure IC operations are not hindered. IC will still aim to get you your product, service or solution under the terms of sale delivered if the costs of doing so do not make it seem impractical or any additional cost incurred is agreed with the customer upfront or a reasonable legal provision or method exists for its delivery as determined by IC.

GOVERNING LAW

These T&Cs and any separate agreements whereby we provide you product, services and solution under shall be governed by and construed in accordance with the laws of England and Wales.
